TERMS OF SALE

These Terms of Sale govern the purchase of software modules, SLA services, and partnership programs from Oduist OÜ(Estonia).

1. Sales Model and Licensing

1.1. In-App Purchases (IAP): Software modules are sold directly within the application interface (In-App).

1.2. License Binding: Each module purchase is licensed exclusively for the specific Odoo instance from which the purchase was made. Transferring a license to other instances is not possible. 

1.3. Pricing: The current price of a module is displayed within the application at the time of purchase. Prices may vary depending on the region (country), local tax laws, and other market conditions.

2. Trial Period

2.1. Free Trial: All modules are provided with a free trial period of 30 (thirty) calendar days.

2.2. End of Trial: Upon expiration of the 30-day period, the User must either pay the full price of the module or completely remove it from their Odoo instance. Continued use of the module after the trial period without payment constitutes a breach of copyright.

3. Subscriptions and Services

3.1. No Software Subscription: We do not charge recurring fees for the use of the software (modules). The purchase of a module is a one-time payment (for the specific Odoo instance).

3.2.  Subscription Types: A subscription-based model remains in effect exclusively for:

  • SLA (Service Level Agreement): Guaranteed technical support and maintenance services.
  • Partner Levels: Participation in Oduist partnership programs.

3.3. The terms for cancellation and renewal of these subscriptions are governed by their respective service level agreements.

4. Refund Policy

4.1. Right to Refund: Despite the availability of a 30-day trial period, the Client has the right to request a refund within 14 (fourteen) calendar days of the date of purchase.

4.2. Procedure: To initiate a refund, the Client must send an official request to team@oduist.com.

4.3. Conditions: Upon processing a refund, the license to use the module is revoked, and the Client must immediately uninstall the software. We reserve the right to refuse a refund if the request is submitted after the 14-day window has expired.

5. Technical Support and Development

5.1. Integration, customization, or troubleshooting work not covered by an active SLA is billed separately based on actual time spent (Time & Materials).

5.2. Time logs (timesheets) are available to the Client in their personal account or upon request.

6. Limitation of Liability and Governing Law

6.1. The software is provided on an "as is" basis. Oduist OÜ shall not be held liable for any indirect damages resulting from the use of the software.

6.2. All disputes shall be governed by the laws of the Republic of Estonia and are subject to the jurisdiction of the Estonian courts.
